ASSOCIATED BANC-CORP AND CITIZENS BANK AND TRUST COMPLETE MERGER TODAY

 GREEN BAY, Wis., June 22 /PRNewswire/ -- Associated Banc-Corp (NASDAQ: ASBC) announced today, that shareholders of Wausau Financial Corp. and its $80-million subsidiary Citizens Bank & Trust formally approved the merger with Associated.
 Under the terms of the merger and consolidation, shareholders of Wausau will receive 47.89 shares of Associated Common Stock for each share of Wausau stock owned. Shareholders of Citizens will receive 3.062 shares of Associated Common Stock for each share of Citizens stock owned.
 H.B. Conlon, chairman and chief executive officer of Associated said, "The Citizens banking offices in Wausau and Schofield complement Associated's existing markets in northcentral Wisconsin. The two Citizens banks will take the Associated Bank name and join Associated Bank Marshfield and Associated Bank Wittenberg in forming Associated's Northcentral Wisconsin Region."
 With the addition of these two offices, Associated will have 17 banking facilities in the Northcentral Wisconsin Region with over $375 million in assets.
