 WORLDWIDE MARKETING AGREEMENT
 LOS ANGELES, Dec. 12 /PRNewswire/ -- Robert Pfannkuch, CEO of Archer Communications Inc. (NASDAQ: QSNDF; TSE: AAZ) and Salah Hassanein, senior executive vice president of the Todd-AO Corporation announced today that they have completed an exclusive worldwide marketing agreement for use of QSound in theatrical motion pictures, television programs, video cassettes, video discs and television commercial advertising. Under the terms of this agreement, Archer agrees to immediately install five QSystems at Todd-AO and other sound studio facilities and to deliver five additional QSystems within the next 120 days. Todd-AO will contribute funds for marketing costs on an as-needed basis. Net profits from the marketing agreement will be allocated 75 percent to Archer and 25 percent to Todd-AO.
 Todd-AO is engaged in the operation of sound studios which perform post-production sound services for the motion picture and television industries. With 18 sound stages located in New York and Los Angeles, Todd-AO is believed to be the largest independent post production sound studio in the United States. Todd-AO also owns approximately 9 percent of the issued capital of Archer and was instrumental in securing the first QSound theatrical and home video release -- Robin Hood: Prince of Thieves.
 Additionally, the company has secured a further U.S. $500,000 loan advance from J & C Resources Inc. under the same terms as previous advances. This amount will be repayable in December 1992.
