ARCH ANNOUNCES PENDING ACQUISITION

WESTBOROUGH, Mass., Jan. 19 /PRNewswire/-- Arch Communications Group, Inc. (NASDAQ: APGR) announced today that it has entered into a definitive purchase and sale agreement to acquire the assets of a paging business in upstate New York. This property has approximately 3,000 paging subscriber units in service. The pending acquisition will be made for an undisclosed sum of cash.
CEO C. Edward Baker, Jr. described the transaction: This property is located in a market where Arch currently operates and offers excellent consolidation opportunities. This is the third acquisition we have commenced within the last 45 days and demonstrates that Arch's acquisition program is contributing to its overall growth.
Baker further described Arch's growth plan: "In addition to acquisitions, we have also increased Arch's size by aggressively growing existing businesses and by market expansions. Our internal growth in existing operations has exceeded industry averages by more than 50 percent over our six year life. Additionally, we have successfully started up 12 new market expansions by opening sales offices in markets adjacent to areas where we already operate.
"Arch seeks to build shareholder equity by growing earnings before interest, taxes, depreciation and amortization, "EBITDA", and by increasing paging units in service. EBITDA, or operating cash flow, is the key performance measure for paging companies and is the basis for valuation as well as for borrowings from institutional lenders. The Company believes that it can best grow EBITDA and paging units in service by establishing the lowest cost operating structure within its service areas, installing efficient high-quality transmission systems, and quickly and effectively responding to its customers through its decentralized organizational structure.
Arch Communications Group, Inc. provides paging services in 13 states, serving primarily middle and small market areas with populations ranging from 250,000 to 1,000,000. At Nov. 30, 1992, Arch had 175,000 subscriber units in service. The Company's operations are organized into 5 business units operating as Page New England; Page New York; Page Michigan; Page South in North Carolina, South Carolina and Georgia; and Interlink Paging in Louisiana and Florida.
