APERTUS TECHNOLOGIES INCORPORATED ACQUIRES SYSTEMS STRATEGIES INC.

MINNEAPOLIS, Jan. 3 /PRNewswire/ -- Apertus Technolgies Incorporated (NASDAQ: APTS) today announced it has acquired all of the stock of Systems Strategies Inc. (SSI), a wholly owned subsidiary of AGS Computers, Inc., a NYNEX company, effective at the close of business on Dec. 31, 1993. SSI, with approximately $15 million in annual revenue, is a leading provider of communication software products for linking UNIX, IBM, DEC and Novell computing environments.
The purchase price was approximately $14 million. Apertus expects to allocate a portion of the purchase price to purchased research and development, which will result in a charge against earnings in the third quarter ended Jan. 2, 1994.
Robert D. Gordon, Apertus president and chief executive officer, stated, "The acquisition of SSI by Apertus creates one of the industry's leading communication software companies. The resulting company will have worldwide revenues of approximately $40 million with strong product offerings in high growth markets for the interoperation of computer networks."
Gordon continued by commenting on the significant business potential created through the combination of SSI and Apertus. "Apertus' Internetworking salesforce will begin to immediately sell SSI's EXPRESS and Data Transfer software products, providing Apertus customers with a broader set of connectivity products and solutions. Additionally, Apertus will look to leverage SSI's established distribution in Europe with the addition of Apertus' Datastar product line. Apertus will also expand its high growth client server business with the addition of SSI's ezBridge Transact messaging product line and its alliance with IBM." Messaging is an emerging technology that allows distributed applications to communicate in a highly flexible fashion.
