AMTECH AND MOTOROLA TO FORM JOINT VENTURE
DALLAS, Aug. 24 /PRNewswire/ -- Amtech Corporation (NASDAQ: AMTC)

and Motorola, Inc. (NYSE: MOT) today announced that the two companies have agreed in principle to form a joint venture to develop a new generation of wireless electronic toll collection and traffic management (ETTM) systems.
Financial terms were not disclosed. Formation of the joint venture is subject to the execution of definitive agreements.
Amtech provides electronic toll collection systems and is a leader in the rapidly growing radio frequency identification (RFID) industry. Motorola, based in Schaumburg, Ill., is a leading manufacturer of radio communication products and systems.
The new joint venture would receive licenses to certain technologies from both Amtech and Motorola, and would be equally owned by both companies. Motorola would provide the initial development funding, and both companies would pool necessary technical and manufacturing resources to develop and manufacture a new line of RFID products.
An initial target market segment would be ETTM systems compatible with California's recently adopted state-wide specification for automatic vehicle identification (AVI). The specification is based on "modulated backscatter" technology, which uses radio waves to communicate with an electronic identification tag on a vehicle. The specification is similar to Amtech's existing product line and has potential for adoption in other regions in the United States. This could enable the joint venture to deliver a standard product that could operate throughout the nation.
Michael J. Breslin, senior vice president, marketing, of Amtech, said, "We see a trend toward regional and statewide specifications for AVI and ETTM systems. Meeting the needs of these regions will be a primary focus for this venture."
Don Rothwell, a Motorola vice president, said, "Motorola's broad base of communications and electronics, combined with Amtech's RFID technology, provides a strong platform for advanced vehicle roadside communications well into the future. We look forward to pursuing this emerging market within the arena of intelligent vehicle highway systems."
Separately, the companies agreed in principle to license Motorola as a potential second source of Amtech-compatible products for the Interagency Committee, a coalition of several agencies that operate toll facilities in New York, New Jersey and Pennsylvania. The committee is in the process of selecting an RFID technology for electronic toll collection in the region, and is requiring multiple vendors for the RFID technology selected.
Amtech and Motorola officials said they expect to complete definitive agreements and technical licenses by the end of the year.
Amtech Corporation designs, manufactures, markets and supports a line of hardware and software products and provides services utilizing its proprietary RFID technology. RFID technology permits the remote identification of and communication with trucks, automobiles, rail cars, intermodal containers and other transportation equipment through the use of radio signals. Amtech products are currently marketed to the electronic toll and revenue collection, intermodal transportation, rail transportation, vehicle fleet management and access control and air freight industries.
Motorola is one of the world's leading providers of electronic equipment, systems, components and services for worldwide markets. Products include two-way radios, pagers and telepoint systems, cellular telephones and systems, semiconductors, defense and aerospace electronics, automotive and industrial electronics, computers, data communications and information processing and handling equipment. Sales in 1991 were $11.3 billion.
