AMERICAN TRANSPORTATION TELEVISION NETWORK, INC. ANNOUNCES AGREEMENT

WASHINGTON, July 15 /PRNewswire/-- American Transportation Television Network Inc. ("ATTN") (AMEX: ATT), its wholly owned subsidiary, Trucker Television Inc. ("TTN") and Broadcast International Inc. ("BI") (NASDAQ: BRIN) announce the signing of a Technical Services Agreement ("agreement").
Under the five-year agreement BI has agreed to provide TTN with satellite transponder time for the Trucker Television Network, network management services and reception equipment procurement, installation and maintenance services. BI has agreed to install up to 500 reception sites by Dec. 31, 1993. Thereafter, the agreement calls for the installation of up to 100 sites per month until market penetration is complete.
Under the terms of the agreement (subject to regulatory approval) BI will be issued 300,000 common shares of ATTN at a subscription price of $1.05 per share with a 1:1 warrant attached exercisable at a price of $1.25 per share within three years. Within 90 days of the first anniversary date of the agreement BI has the right to acquire up to 10 percent of ATTN's common shares from treasury at the then market price and a further 9 percent of ATTN's common shares, on the same basis, within 90 days of the second anniversary date of the agreement. BI's share position cannot exceed 19 percent of the issued and outstanding share capital of ATTN at any time during the term of the agreement.
TTN is America's only private television news and information network dedicated to serving the trucking industry. The network caters to the 3.5 million long haul truck drivers who are on the road daily and who spend approximately (U.S.) $25 billion at truck stops.
TTN's discussions with advertisers indicate that a critical mass of 125 truck stop sites is the initial distribution threshold necessary to secure additional contracts. It is also the distribution level which must be reached to trigger revenue payments under certain existing advertising contracts. The agreement ensures that this minimum threshold will be met and exceeded.
In commenting on the agreement, ATTN's Vice President, Robert Whitney, said:
"We are excited that BI will be providing a full range of satellite services to TTN. It is our view that a private network for truckers will give the industry a unique opportunity to provide information and entertainment via television where none presently exists. We look forward to BI joining us as part of this new application of satellite technology not only as a service provider but also as a shareholder."
As a result of the agreement Trucker Television will move from a Ku Band to a C Band satellite. The latter permits home reception with widely available satellite dishes. For the first time professional truck drivers and their families will be able to tune in to and have the opportunity to become more involved in, and aware of, the issues affecting America's trucking industry. TTN's in-house research indicates that approximately 200,000 professional truckers have C Band dishes installed at their homes.
BI and its wholly owned subsidiaries provide satellite delivered business communication and financial services to retailers and other customers nationwide. These services include background music, point of purchase advertising, high speed data transmission, video and audio conferencing and satellite installation and maintenance services. In addition, it provides check/credit authorization, data and recovery services for retailers nationwide.
