AMERICAN STANDARD FILES FOR OFFERING

 NEW YORK, April 16 /PRNewswire/ -- Emmanuel A. Kampouris, chief executive officer of American Standard Inc. (the company), today announced that the company has filed a registration statement with the Securities and Exchange Commission relating to the issuance and sale of $650 million of new subordinated securities. The registration consists of two securities: (i) $200 million of senior subordinated notes due 2001 and (ii) senior subordinated discount debentures due 2005 generating gross proceeds of approximately $450 million. The company has retained BT Securities Corporation and The First Boston Corporation as sole underwriters of the offering.
 The net proceeds of the offering will be used to redeem all of the company's outstanding 12-7/8 percent senior subordinated debentures ($545 million in amount) and approximately $56 million of the company's 14-1/4 percent subordinated discount debentures, all issued in 1988. To effectuate the offering, the company will be required to obtain a consent from its existing bank group.
 American Standard, acquired in 1988 by Kelso & Company, the New York merchant banking firm, is a leading worldwide producer of air- conditioning systems and bathroom and kitchen fixtures and fittings and a major European manufacturer of commercial vehicle braking systems, with 1992 sales of $3.8 billion.
 American Standard's registration statement with respect to the senior subordinated notes and senior subordinated debentures has been filed with the Securities and Exchange Commission, but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
