AMERICAN DIGITAL COMMUNICATIONS ANNOUNCES THE ACQUISITION OF SMR SYSTEMS COVERING OVER 2,800 MILES OF INTERSTATE

 DENVER, Jan. 11 /PRNewswire/ -- Effective today, Jerald L. Woods, chairman and chief executive officer of American Digital Communications Inc. (OTC Electronic Bulletin Board: ADCM.U), announced that American Digital has entered into an agreement to acquire or manage FCC licenses covering more than 550 Specialized Mobile Radio ("SMR") channels and serving a population base in excess of 6.2 million people. The FCC licenses involved cover portions of a six-state area, including Texas, New Mexico, Colorado, Wyoming, Montana and South Dakota over a geographic area of 280,500 square miles. Woods stated that "This acquisition will allow us to begin building a continuous service area throughout a significant portion of the United States. We will in a couple of years be able to offer roaming capabilities throughout these six states along major interstates and state highway corridors."
 This acquisition includes sales and service shops as well as SMR licenses which are currently loaded and built out. American Digital will acquire, build out and load additional FCC licenses to increase its saturation in the six-state coverage area ("footprint"). American Digital is purchasing this system for a combination of cash and common stock. The cash portion of the purchase price is payable over a two-year period.
 Woods explained that "SMR" is a wireless telephone and data delivery technology much like the cellular telephone service, but which will offer higher quality transmissions than cellular in its digital build out capacity. American Digital intends to aggressively market wireless telephone services to potential subscribers in this newest acquisition (following acquisition agreements for systems in Pennsylvania and Tennessee) is part of American Digital's aggressive strategy to create a continuous footprint in an important geographical area of the country, in which corridors of service link major, medium and smaller size metropolitan areas.
 American Digital is an emerging SMR company. Founded in 1987 as Mont Rouge Resources Inc., the company is in the process of redomiciling to the State of Wyoming and changing its name to American Digital Communications Inc.
