AMERICAN BIODYNAMICS ANNOUNCES ANNUAL MEETING RESULTS
HOUSTON, Jan. 8 /PRNewswire/ -- American Biodynamics, Inc. (NASDAQ: BDYNF) today announced the final voting results of the shareholders at the company's annual meeting held on Sept. 25, 1991.
The delay in announcing the results was due to litigation brought by Weldon S. Guest, which has now been settled. Shareholders provided management with a large majority of the votes in the election for directors and the other management supported proposals.
In the election for management's director nominees, 63 percent of the total shares outstanding voted either in person or by proxy, with 72 percent voting for management's nominees. As a result of this affirmative vote of the shareholders, John V. Hargiss, president of the company, Donald Archibald, David Raftery, and Robert J. Twitchell were elected as directors of American Biodynamics.
Other important matters approved by the shareholders were the adoption of the company's employee 401 (k) savings plan, and an amendment in the company's stock option plan.
Hargiss said, "Management appreciates the support and confidence of the shareholders. Although we were delayed by litigation from reporting these results, management has continued its efforts to enhance shareholder value."
American Biodynamics, Inc., offers surgical products which reduce or eliminate the risk of complications from donor tissue grafts and blood. The company is chartered in British Columbia, Canada, and has its executive offices in Houston.
