AMCARE ANNOUNCES MANAGEMENT BUYOUT

 CINCINNATI, Dec. 17 /PRNewswire/ -- Ambulatory Medical Care, Inc. (NASDAQ: AMED), an operator of urgent care centers in the Cincinnati- Dayton area, stated that on Dec. 16, 1992 it received a proposal to acquire AmCare in a cash merger transaction from a group composed of the present executive officers, C. Lawrence Decker, Jerome L. Decker and Dean R. Judkins. The group presently owns approximately 60 percent of the outstanding shares of AmCare. Under the proposal, AmCare's shareholders would receive $5.50 per share, in cash, and AmCare would cease to be publicly owned. It is anticipated that the acquisition would be accomplished by means of a merger of AmCare with a newly formed corporation owned by the group.
 AmCare further announced that an independent committee of the board of directors has been formed to review, evaluate and make a recommendation with respect to the proposal. Members of the independent committee are Gerald H. Lippold, Edward F. Brent, Harry J. Kangis and James A. Markley Jr. The committee is expected to retain its own counsel and financial advisors. If approved by the independent committee, the proposal will be submitted to the shareholders of AmCare for approval.
 Consummation of the proposed transaction is subject to customary conditions, including the receipt of the financing necessary to complete the acquisition and the signing of a definitive merger agreement and shareholder approval. There can be no assurance that the proposed transaction will be completed.
