ALLSCRIPS ANNOUNCES INTENT TO PURCHASE CLINICAL PHARMACEUTICALS
VERNON HILLS, Ill., Dec. 18 /PRNewswire/ -- Allscrips Pharmaceuticals, Inc., announced today that they have entered into an acquisition agreement with Clinical Pharmaceuticals, Inc., a privately held corporation based in Nashville, Tenn. Clinical founded its pharmaceutical repackaging business in November 1986. The acquisition by Allscrips of Clinical's point-of-care dispensing business is expected to occur on Dec. 27, 1991. Terms of the transaction were not disclosed.
Allscrips is the industry leader in supplying to physicians' offices, clinics and other healthcare sites the highest quality brand name and generic pharmaceuticals in prescription-size packages. In addition, Allscrips provides mail service pharmacy through a management agreement signed on July 1, 1991, with Mailscripts, Inc. Allscrips will have estimated 1992 annual sales in excess of $70 million as a result of the conversion of Clinical customer accounts, closing the acquisition of certain assets of Mailscripts and continuing Allscrips' internal growth.
"Allscrips' point-of-care dispensing, mail service pharmacy and total pharmaceutical management through its Triple Option program are vehicles to reduce pharmaceutical costs and to increase the quality of care and clinical outcomes," said Bruce A. Hazuka, chairman, president and chief executive officer of Allscrips. "Allscrips' purchase of the repackaging business of Clinical positions the company favorably to lead the effort in the 1990s to reduce pharmaceutical costs of acute care medications in the primary care sector."
The unique pharmaceutical delivery systems developed by Allscrips lead to both direct and indirect cost savings for patients. By receiving their medications at the point of care, patients are more inclined to comply with their doctors' instructions, improving the likelihood of positive therapeutic outcomes. Studies have shown that if patients must travel to another site to receive a prescription, 7 to 8 percent will go unfilled.
The acquisition agreement announced today follows several acquisitions by Allscrips during the past 12 months. Combining this with sales and marketing investments, Allscrips continues to fuel dramatic growth.
"As in other segments of the healthcare industry, it has become clear in our business that one must provide quality care in a cost effective way. Allscrips' purchase of certain assets of Clinical continues to support our growth and positioning while enhancing our leadership and financial stability in the point-of-care dispensing market segment," Hazuka said.
Following a managed and orderly transition period, Allscrips intends to consolidate all operational activities to support the acquired assets at its facility in Vernon Hills. This consolidation will enhance service, quality and improve the company's fundamental economies.
Privately held Allscrips Pharmaceuticals, Inc., was formed in April 1986 with equity financing from a number of leading venture capital firms.
