ALLIEDSIGNAL ACQUIRES AUTOMOTIVE FILTER COMPANY IN MEXICO

 SOUTHFIELD, Mich., May 10 /PRNewswire/ -- AlliedSignal Inc. (NYSE: ALD) announced today that it has acquired Filtram S.A., the exclusive licensed manufacturer and distributor of its Fram filter products in Mexico, from the Proeza Group of Monterrey, Mexico. Terms were not announced.
 Filtram is one of Mexico's leading producers and distributors of oil, air and fuel filters for passenger cars and heavy-duty vehicles, and also sells brake fluid and sealants. It has been the exclusive Fram licensee in Mexico since 1988, and had 1992 sales of $10 million.
 Under the agreement, AlliedSignal acquires Filtram's filter manufacturing plant in Monterrey and its distribution centers in Monterrey, Mexico City and Guadalajara, which serve more than 5,000 direct customers. AlliedSignal also will benefit from Filtram's network of 32 independent distributors in Mexico.
 The Filtram businesses will be operated by AlliedSignal Automotive, based in Southfield, which had 1992 sales of $4.5 billion.
 "This acquisition is a key part of our strategy to grow AlliedSignal's automotive aftermarket business in Mexico and around the world," said Lawrence A. Bossidy, chairman and chief executive officer of AlliedSignal Inc.
 "We plan to use Filtram's broad and well-established distribution network in Mexico to sell not only filters, but also our other aftermarket products including brakes, friction materials and spark plugs," said Ralph E. Reins, president of AlliedSignal Automotive.
 Michael A. Monti Jr., president of AlliedSignal Automotive Aftermarket, said the company sees opportunity in the Mexican aftermarket, which is expected to grow at a rate of 8 to 10 percent per year.
 "About half the vehicles on the road today in Mexico are more than 10 years old, and there is a strong demand for quality parts," he said. "As Mexico's program of industrial decentralization gathers momentum, effective national distribution will be critical to growing our aftermarket business there."
 Monti added, "By acquiring the filter plant in Monterrey, we'll gain an established source of heavy-duty truck filters that will allow us to provide local content to Mexican truck manufacturers."
 The Proeza Group (Promotora de Empresa Zano, SA de CV) is one of Mexico's leading auto parts manufacturers. Its 1992 sales were approximately $180 million.
 AlliedSignal Inc. generated more than $90 million in revenues in Mexico in 1992 and exported $74 million worth of products to Mexico from the United States.
