ALLIED ANNOUNCES THE CLOSING OF TWO ACQUISITIONS AND A DEFINITIVE AGREEMENT FOR THE PURCHASE OF A THIRD LABORATORY COMPANY

 NASHVILLE, Tenn., June 22 /PRNewswire/ -- Allied Clinical Laboratories, Inc. (NASDAQ-NMS: ACLB) announced today that it had closed or come to final terms on three separate acquisitions.
 The company indicated that it completed its acquisition of LabCare, Inc., headquartered in Birmingham, Ala., as well as the purchase of the customer list of Parkview Medical Laboratories in Salt Lake City. Allied also indicated that it has reached agreement on the definitive terms for an acquisition of Physician's Clinical Laboratories, Ltd., headquartered in Effingham, Ill. That acquisition is expected to close on or before July 1.
 Consistent with past acquisition payment structures, the purchase prices for these three laboratories include cash at closing plus contingent consideration to be paid over time, depending upon performance against certain operating and profit improvement criteria. In addition, the company expects to issue approximately 94,600 shares of its common stock in connection with the Physician's Clinical Laboratory transaction.
 The combined annualized net revenues of the three operations will be approximately $10 million. Parkview Medical Laboratories is a "fold-in" to Allied's Salt Lake City regional laboratory, while the other two acquisitions are combinations of stand-alone operations with some lesser fold-in characteristics. The company will retain substantial testing and service activities at existing LabCare and Physician's Clinical Laboratories' locations, but will also utilize other Allied laboratories for certain testing requirements from these two operations.
 Commenting on these new business development activities, Haywood D. Cochrane Jr., Allied's president and chief executive officer, stated: "We're very pleased to be at this point in our acquisition program at this time of the year. These three well-managed operations will be high quality to the Allied family and will add to the positive momentum created by our recent acquisition of Sierra Nevada Laboratories, headquartered in Reno, Nev.
 "The LabCare acquisition gives us a strong and expanded presence in southern Alabama between the Florida and Tennessee regions and will help fill a geographic and service void between two of our largest and most profitable regions. The Physician's Clinical Laboratories operation will expand our Ohio service area to the west and will overlap nicely with a number of existing and potential clients of our Reference Pathology Laboratory subsidiary, thereby enhancing our ability to offer combined clinical and anatomical testing services in this important and growing market area.
 "The Parkview acquisition, while smaller than the other two, is more of a traditional fold-in to our existing Salt Lake City regional laboratory and should provide more immediate benefits as a result.
 "We believe that the combination of these three new acquisitions, along with the successful integration of Sierra Nevada Laboratories, will provide a solid foundation for further growth in 1993 and beyond and is indicative of an acquisition program and strategy which is working well in a consolidating industry."
 Allied provides testing services to physicians, clinics and other health care providers through a national network of 13 regional laboratories, one of which serves as a reference laboratory and one of which serves as an anatomical testing laboratory. The company supports its regional laboratories through over 210 other service sites. Through its Contract Management Services Division, the company has contracted with approximately 60 hospitals and 3 multi-specialty networks to provide a variety of management services for their on-site laboratories, including both clinical and anatomical testing as well as pathology consultation and laboratory direction.
