 AGREEMENT EXECUTED TO ACQUIRE SECOND ENVIRONMENTAL CLEANING
 AND INDUSTRIAL MAINTENANCE BUSINESS
 METHUEN, Mass., April 9 /PRNewswire/ -- NSC Corporation (NASDAQ: NSCC) today announced that it has executed a definitive agreement to acquire the Troy, Ohio-based Miami Valley Pressure Cleaning, Inc. (Miami Valley), which provides industrial vacuuming, waterblasting and other maintenance services to a broad base of manufacturing, utility, transportation and food processing clients in Ohio, Indiana, Kentucky, and Tennessee. Miami Valley had 1991 revenues of approximately $6 million.
 Anthony Mesiti, president and chief executive officer of NSC said, "The acquisition of Miami Valley will be the second step in implementing our strategy to become one of the major providers of environmental cleaning and industrial maintenance services in the United States. We announced our entry into the industrial cleaning and maintenance business in February of this year with our acquisition of Portage, Indiana-based Combined Plant Services, Inc." Mesiti added, "Through these acquisitions, NSC has quickly positioned itself to become one of the major providers of such industrial services in the midwestern United States."
 The expansion of NSC's service into environmental cleaning and industrial maintenance services allows its proven track record managing a service business and strong financial position to be leveraged into this fast growing segment of the environmental services industry. NSC's outstanding reputation with its client base, as well as the market presence and reputation of its parent, OHM Corporation, one of the leading provicers of on-site environmental remediation services to Fortune 500 industrial companies, further enhances the company's opportunity in this industry sector.
 The acquisition of Miami Valley, which is subject to satisfactory completion of certain conditions, is expected to be completed within several weeks. While terms were not disclosed, Gene J. Ostrow, vice president and chief financial officer, said, "The consummation of this transaction is expected to contribute to NSC's earnings per share in 1992."
