ACC SIGNS DEFINITIVE AGREEMENT TO SELL CELLULAR BUSINESS

 ROCHESTER, N.Y., Jan. 25 /PRNewswire/ -- ACC Corp. (NASDAQ: ACCC) ("ACC") chairman and chief executive officer Richard T. Aab announced today that ACC has signed a definitive agreement to sell its Danbury Cellular Telephone Co. ("Danbury") cellular business to a subsidiary of Horizon Cellular Telephone Company ("Horizon") for approximately $43,500,000 in cash. The agreement was consistent with the letter of intent signed by the two companies in November 1992. The closing is expected to take place, pending regulatory approval, in the spring of 1993. Horizon owns and operates cellular telephone systems principally in rural areas.
 The sale includes the operating licenses for the Kentucky non- wireline Rural Service Areas ("RSAs") 5, 6 and 8, and its cellular switching system, 13 cell sites and a 250-route mile digital microwave network, as well as other operating and non-operating assets. Danbury presently serves more than 4,200 subscribers in a 28-county area of approximately 500,000 people in central Kentucky.
 In commenting on the signed agreement, ACC Corp. president and chief operating officer Richard E. Sayers stated, "The sale of ACC's cellular business in Kentucky to Horizon is definitely a win-win situation for both companies. The divestiture allows ACC to focus 100 percent on our core long-distance business activities in the U.S. and Canada, and on our emerging business in the United Kingdom. Horizon, which recently purchased KY RSA No. 4 and is contiguous to KY RSAs No. 5 and No. 6, will have a fully operational system on which to expand and continue the superior service customers currently enjoy. They are experienced cellular operators, and would service a population of over 2 million after the consummation of the Danbury acquisition."
