ACC CORP. SIGNS LETTER OF INTENT TO SELL CELLULAR BUSINESS

 ROCHESTER, N.Y., Nov. 30 ~PRNewswire~ -- ACC Corp.(NASDAQ: ACCC) ("ACC") chairman and chief executive officer, Richard T. Aab announced today that the company has signed, and the company's board of directors has approved, a Letter of Intent to sell its Danbury Cellular Telephone Co. ("DCTC") cellular business to a subsidiary of Horizon Cellular Telephone Company ("Horizon"). The transaction is for approximately $43,500,000 cash and is subject to the signing of a definitive agreement within 30 days. Horizon owns and operates cellular telephone systems principally in rural areas.
 In commenting on the proposed transaction, ACC Corp. president and chief operating officer, Richard E. Sayers stated, "The sale would include the operating licenses for the Kentucky non-wireline RSA's 5, 6 and 8, and its cellular switching system, 13 cell sites and a 250 route mile digital microwave network, as well as other operating and non-operating assets. If and when a definitive agreement is finalized, ACC would make appropriate and timely disclosure concerning it. DCTC presently serves more than 3,400 subscribers in a 28 county area of approximately 500,000 people in central Kentucky." The contemplated transaction is also subject to regulatory approval by the Federal Communications Commission and the Kentucky Public Service Commission.
