1,800,000 RURAL/METRO CORPORATION COMMON SHARES OFFERED AT $12.50 PER SHARE

 SCOTTSDALE, Ariz., July 16 /PRNewswire/ -- William Blair & Company and Furman Selz Incorporated, co-managers of the underwriting group, announced today the initial public offering of 1,800,000 shares of Rural/Metro Corporation common shares at $12.50 per share. Of these shares, 1,710,000 are being sold by the company and 90,000 are being sold by the company's ESOP. The company and the selling stockholders have granted the underwriters a 30-day option to purchase up to 270,000 additional shares to cover over-allotments, if any.
 Net proceeds to the company will be used to repay debt and for general corporate purposes, including potential acquisitions.
 The common stock of Rural/Metro Corporation will trade on the NASDAQ National Market System under the symbol RURL.
 Headquartered in Scottsdale, Rural/Metro Corporation provides ambulance services, fire protection services and other safety-related services to municipal, residential, commercial and industrial customers. The company is the largest private-sector provider of fire protection services and the fourth-largest private-sector provider of ambulance services in the United States.
