 THOMAS TO REMAIN A CONSULTANT
 PITTSBURGH, Sept. 13 /PRNewswire/ -- Michael Baker Corp. (AMEX: BKR)


has named Richard L. Shaw interim president and chief executive officer. Shaw, who is also chairman of the company's board of directors, replaces William G. Thomas, who has resigned as president and CEO, and as a director but will remain with the company as a consultant.
 In this new role, Thomas will be responsible for analyzing acquisitions and other market opportunities in the construction, and operations and maintenance businesses.
 "Bill and I believe that this decision is in the best interests of the company," Shaw said. "Since July, we have been spending a significant amount of time and resources to identify and address issues at our Intelcom Support Services subsidiary. This change enables the company to continue to address those issues and to renew its commitment to improving overall corporate performance."
 Shaw, 66, previously served as Baker's CEO from 1984 to 1992. During that period, Baker recorded 32 consecutive quarters of profits and the company's revenues grew from $30 million to more than $350 million.
 Shaw joined Baker in 1952 as assistant personnel director. He was named assistant to the president in 1958 and was elected to the board in 1966. Shaw was elected president in 1973, CEO in 1984, vice chairman in 1990 and chairman in 1991.
 Thomas, 58, joined Baker in 1986 as a senior vice president to initiate Baker's entry into the operations and maintenance business. In that capacity, he led Baker's acquisitions of three O&M companies, including Intelcom. Thomas was elected president in 1991 and chief executive officer in 1992. Prior to joining Baker, Thomas spent 26 years with Elwin G. Smith Construction Products, Inc.
