 /NOTE TO EDITORS: In July 1992, ICI announced that it was considering proposals for demerging the company's bioscience business and taking the necessary steps to enable the ICI board to make a decision on the proposals after the publication of the annual results at the end of next month.
 Any decision would be taken in the light of market and other conditions prevailing at the relevant time. If such a decision were taken, all appropriate consents and approvals would be sought and formal proposals put to ICI's shareholders.
 Since July, teams of experts have been working with managers in the company to separate companies within the group and to put in place new structures in most of the 150 territories in which the company operates.
 In November, ICI Chairman, Sir Denys Henderson, announced that the company would be divided into two separate operating units each with its own executive and management teams from Jan. 1, 1993. The division reflects the hiving off of the company's bioscience interests into a new wholly owned subsidiary which is called ZENECA Limited. The new company will comprise ICI's existing pharmaceuticals, agrochemicals, seeds and specialties businesses. In recent years, ICI's bioscience businesses have developed rapidly and in 1991 had a turnover of 3.9 billion pounds sterling out of a total of 12.48 billion pounds. The bioscience businesses have become increasingly distinct from ICI's other operations, employ different technologies, serve a largely separate customer base, and are more R&D intensive.
 From Jan. 1, significant business responsibilities have been delegated to a new ICI Executive and the board of ZENECA Limited. However, both answer to the ICI executive committee and the board of ICI retains its ultimate responsibility for all the group's activities.
 ICI Executive
 The new ICI Executive will be led by Ronnie Hampel, as chief executive officer. It will comprise Colin Short, ICI finance director, together with two other directors, Chris Hampson and Rob Margetts. Victor White will continue as the group solicitor and secretary; Alan Spall as general manager of finance; and Trevor Harrison as general manager, planning.
 ZENECA
 The ZENECA board, headed by David Barnes, will comprise Dr. Peter Doyle and Tony Rodgers, both of whom are executive directors of ICI, together with John Mayo, whose appointment as finance director of ZENECA has already been announced. Graeme Musker will be the secretary and solicitor; Norman Lyle, general manager of finance; and Hugh Donaldson, general manager of corporate resources.
 Should it be decided to go ahead with demerger, ZENECA would become a public company. A further announcement would then be made at that time about the appointment of the members of the ZENECA board, including non-executive directors./
