eBay Stockholders Approve Proposals at Company's Annual Meeting.

ORLANDO, Fla.--(BUSINESS WIRE)--June 26, 2003

eBay (Nasdaq:EBAY)(www.ebay.com), the world's online marketplace, held its annual meeting of stockholders today in Orlando, Florida The city of Orlando is a major city in central Florida and is the county seat of Orange County, Florida. At the meeting, eBay's stockholders approved all four proposals presented in the company's Proxy Statement Proxy Statement

As a result of the stockholder vote, an amendment to the 2001 Equity Incentive Plan was approved to increase by 14,000,000 the number of shares of common stock that may be issued under the 2001 Plan.

Also approved were: the adoption of a 2003 Deferred Stock Unit Plan; the re-election of directors Dawn G. Lepore and Pierre Omidyar Pierre M. Omidyar (born June 21, 1967) is a French-born Iranian-American entrepreneur and philanthropist/economist, and the founder/chairman of the eBay auction site. Omidyar and his wife Pam are well-known philanthropists who founded Omidyar Network in order to expand their  to hold office until 2006; and the ratification of PricewaterhouseCoopers LLP LLP - Lower Layer Protocol  as the company's independent auditors for the fiscal year ending December 31, 2003.
