The Post-Effective Amendment relates to the subscription rights, and shares of common stock underlying the subscription rights, to be offered to the Company's stockholders in its previously announced $20 million rights offering. The Company expects that its common stock will trade ex-rights on the Nasdaq National Market beginning on December 30, 2005. Upon the commencement of ex-rights trading in dELiA*s' common stock, the dELiA*s, Inc. rights will also be listed for trading on the Nasdaq National Market under the ticker symbol Ticker Symbol An arrangement of characters (usually letters) representing a particular security listed on an exchange or otherwise traded publicly. When a company issues securities to the public marketplace, it selects an available ticker symbol for its securities which investors "DLIAR," though an active trading market in the rights may not commence. Delivery of rights certificates will be mailed starting on or about January 3, 2006. In the rights offering, dELiA*s shareholders of record as of 5:00 p.m. on December 28, 2005 will receive at no charge 0.11533 of a subscription right for each share of dELiA*s common stock held. Each whole right will entitle the rights holder to purchase one share of common stock for $7.43 per share.
