ZEOS EXECUTES LETTER OF INTENT WITH COMPUADD CORPORATION

 MINNEAPOLIS, Jan. 6 /PRNewswire/ -- ZEOS International, Ltd. (NASDAQ: ZEOS) announced today that it has executed a nonbinding letter of intent with CompuAdd Corporation, a manufacturer and marketer of PC compatible computers based in Austin, Texas, regarding a possible acquisition of CompuAdd by ZEOS.
 Under the proposed terms of the transaction ZEOS would acquire CompuAdd in exchange for a combination of cash and stock. The consummation of the transaction is subject to the negotiation and execution of a definitive agreement, the receipt of regulatory approvals, the consent of CompuAdd's lenders and to numerous other conditions. There can be no assurance that the transaction will be consummated.

 ZEOS International, Ltd., manufactures and markets, direct to end users, ISA and EISA (Industry Standard and Extended Industry Standard Architecture) personal computer systems and work stations based on the Intel 80386SL, 80486SX, SL, DX and design services through its PC Tech subsidiary.
