YourNet, Inc. Signs Letter of Intent to Acquire the ISPG Group -- an Internet Consortium Group, Strategically Positioning YourNet, Inc. In the U.K. ISP markets.


MELVILLE, N.Y.--(BUSINESS WIRE)--Oct. 12, 1999--

YourNet Inc. announced today, following months of review and competitive negotiations, the signing of a letter of intent to acquire ISPG ISPG International School Peace Gardens (Canada)

, the Internet Service Provider Internet service provider (ISP)

Company that provides Internet connections and services to individuals and organizations. For a monthly fee, ISPs provide computer users with a connection to their site (see data transmission), as well as a log-in name and password.
 Group ('The Group'), a significant internet service provider in the United Kingdom.

The Group through its Web Traffic entity has been able to assemble a technologically advanced presence in the U.K. through its "Preferred Partnership" with MCI (1) (Media Control Interface) A high-level programming interface from Microsoft and IBM for controlling multimedia devices. It provides commands and functions to open, play and close the device.

 has filed for and will be changing the name and symbol to YourNet, Inc. (YOUR - OTC - BB). This is to better reflect the business model of a Pan - European ISP Roll - up as well as the distribution, through exclusive licensing agreements with MyWeb Inc. (OTC - BB - MYWB), set top conversion boxes enabling affordable Internet access to the public.

The business model of YourNet, Inc. (YOUR - OTC - BB), will derive its revenues from many venues including: the sale of the television set - top boxes, E-Commerce, ISP charges, Internet content agreements, licensing agreements with telecommunication companies and ISP's and a wide variety of International Internet electronic Commerce.

Industry sources forecast growth of e-commerce to exceed 300 billion dollars in 1999 and project growth to reach 1.2 trillion by 2001. It is expected by 2005 there will be over 1 billion Internet users of those 700 million will be non-U.S. users. Currently, 120 - 150 million PCs exist in interconnective potential, YourNet, Inc. facilitates the connectivity through existing television sets to feed the growth engine.

YourNet, Inc. strategy includes major penetration in these emerging markets utilizing the proprietary state of the art technology of the MYWEB television set - topbox and the further development of existing ISP's that may be acquired in these territories. This method of access to the Internet is expected to grow from 2,000,000 boxes currently in 1999 to well over 12,000,000 by 2001.
