WORLDSPAN TO ACQUIRE PARS SERVICE PARTNERSHIP

 ATLANTA, Feb. 5 /PRNewswire/ -- The owners of Atlanta-based WORLDSPAN Travel Information Services and Kansas City-based PARS Service Partnership (PSP) have reached an agreement under which WORLDSPAN will acquire substantially all of the assets of PSP.
 WORLDSPAN is jointly owned by affiliates of Delta Air Lines (NYSE: DAL), Northwest Airlines, TWA and Singapore-based Abacus Distribution Systems Pte Ltd. The computer reservations system provides a wide range of travel information services to over 10,000 travel agencies worldwide.
 PSP is owned by affiliates of Northwest and TWA, and provides data processing and network communication services for Northwest and TWA and WORLDSPAN. The ABACUS Computer Reservations System is also operated in the PSP Kansas City facility.
 The agreement calls for WORLDSPAN to acquire certain PSP assets including contracts, hardware, software and licenses, and a data center located in Kansas City. In addition, WORLDSPAN will acquire certain PSP liabilities including equipment and office space leases and contracts with third-party service providers. Financial terms were not disclosed. Final implementation details are being worked out.
 After closing, WORLDSPAN will operate the business and systems of PSP, including airline reservations and support services for TWA and Northwest and the ABACUS CRS.
 Portions of the transaction require approval by the TWA Bankruptcy Court and must be cleared by the U.S. Department of Justice. Neither are expected to present objections, and the transaction is expected to be completed within 90 days. A transition management team consisting of WORLDSPAN and PSP personnel has begun work on consolidation of the two organizations and computer systems.
 Cal Rader, WORLDSPAN's chief executive officer, said the consolidation of PSP and WORLDSPAN offers considerable efficiencies and cost savings.
 "The economic and competitive environment dictates that we closely monitor business operations and constantly explore ways to become more efficient," he said. "By combining operations, development, communication and staff functions, we can streamline the operations and focus limited resources on providing better customer service."
 WORLDSPAN also announced that its sales, distributed systems development, product marketing and marketing communications departments now located in Kansas City will be relocated to Atlanta.
