 WILMINGTON TRUST AND SUSSEX TRUST MERGER COMPLETED
 WILMINGTON, Del., Jan. 30 /PRNewswire/ -- Wilmington Trust


Corporation (NASDAQ: WILM), announced that the merger of Wilmington Trust Company, its principal subsidiary, with Sussex Trust Company was completed at the close of business yesterday.
 The merger, which was agreed to in April 1991, involved a tax-free exchange of 8/10ths of a share of Wilmington Trust Corporation's common stock for each share of Sussex Trust's outstanding capital stock. There were 1,600,000 shares of Sussex Trust's stock outstanding at the time the merger was completed.
 As a result of this merger, Wilmington Trust will have assets of $4.5 billion and will serve Delaware with a statewide system of 59 offices. The newly acquired branches will continue to operate under the Sussex Trust name until the accounts can be converted to the Wilmington Trust system. That conversion is anticipated to occur in late May 1992. In the meantime, no action is required by Sussex Trust customers. Wilmington Trust will communicate with them directly in the very near future.
 As part of this transaction, two Sussex Trust Board members joined the board of directors of Wilmington Trust Corporation. Rex L. Mears, a Sussex Trust director since 1982, and Robert W. Tunnell Jr., a Sussex Trust director since 1981, joined the Wilmington Trust Corporation's board effective Jan. 29, 1992. On the same date, William R. Deeley, a Wilmington Trust director since 1978, and Charles J. Harrington, a Wilmington Trust director since 1970, retired from those positions. These moves maintain the total number of directors at 25. Wilmington Trust also has three associate directors.
