WESTINGHOUSE ANNOUNCES SALE OF COPPER LAMINATES OPERATION
BALTIMORE, April 20 /PRNewswire/ -- The Westinghouse Electric Corp. (NYSE: WX) announced today it has signed an agreement to sell its Copper Laminates Division -- including a wholly owned subsidiary, Fortin Industries -- to Norplex Oak, Inc., a wholly owned subsidiary of Allied Signal, Inc. (NYSE: ALD).
The sale involves Westinghouse division offices in Sylmar, Calif., manufacturing operations in Pendleton, S.C., and facilities in Great Britain and France. The division currently employs approximately 650 people.
A component of Westinghouse's Electronic Systems Group, the Copper Laminates Division manufactures copper clad laminated products that are ultimately made into printed circuit boards used in the electronics industry. These products are currently manufactured at the company's facilities in Sylmar and Pendleton.
Westinghouse has been in the process of consolidating all manufacturing operations at Pendleton and phasing down the Sylmar operation, a task that is expected to be completed by the end of June.
Allied-Signal has expressed its intention to offer employment to employees at each of the remaining division locations at Pendleton and overseas, as well as those individuals required to maintain the downsized Sylmar operation.
In announcing the agreement, Richard A. Linder, president of Westinghouse's Electronic Systems Group, said: "With the sale of the Copper Laminates Division to Allied-Signal, we will be better positioned to take full advantage of future profitable growth opportunities in non-defense business arenas."
With 1991 sales of $3.2 billion, the Westinghouse Electronic Systems Group is a global leader in airborne and ground radar, space electronics, air traffic control, and command and control systems.
Allied Signal, headquartered in Morristown, N.J., is a diversified supplier of engineered materials and aerospace and automotive products and services. The firm's sales totaled $11.8 billion last year.
Completion of this transaction is subject to the appropriate government review and the approval of the boards of directors of both companies.
