Virginia Mutual Policyholders Approve Acquisition Plan.


RICHMOND, Va. -- Policyholders of Virginia Mutual Insurance Company today approved the previously announced Plan of Conversion with Alfa Corporation. Under the agreement, Virginia Mutual will convert from a mutual company to a stock company and simultaneously merge with a wholly owned subsidiary Wholly Owned Subsidiary

A subsidiary whose parent company owns 100% of its common stock.

Notes:
In other words, the parent company owns the company outright and there are no minority owners.

The Plan of Conversion has already been approved by the Virginia State Corporation Commission. The participants have a target completion date of January 1, 2007.

. The company currently has almost 50,000 policies in force in the region. The conversion will not affect any of the premiums or benefits under the Virginia Mutual policies. Eligible Virginia Mutual Insurance policyholders will receive a cash payment under the terms of the plan approved today.
