VentureTech Completes Purchase of GameCasters, Inc.

VANCOUVER, B.C.--(BUSINESS WIRE)--Feb. 16, 2001

VentureTech, Inc., a US corporation, (VTEH on "Pink Sheets"), ("the Company") announced that it has completed the purchase of GameCasters, Inc. ("GameCasters"), a Nevada Corporation A Nevada Corporation is a corporation chartered under the laws of the U.S. state of Nevada.

Nevada, like the state of Delaware (See Delaware corporation), is well known as a corporate haven.
 by acquiring all of the outstanding common shares and 60% of the preferred shares Preferred shares

Preferred shares give investors a fixed dividend from the company's earnings and entitle them to be paid before common shareholders. See: Preferred stock.

At closing the Company undertook to issue 20,000,000 restricted common shares, 10,000,000 restricted preferred shares and 20,000,000 preferred share warrants. Preferred share warrants have a 5 year term with an exercise price of US$.50 and are convertible into 10 common shares.

The Company's common shares were trading at US$.05 at the time of the offer and there are 45.8 Million shares outstanding. The Company also acquired 4 Million preferred shares of GameCasters from a GameCasters shareholder in consideration for the assignment of all CyberDome Entertainment Inc. indebtedness INDEBTEDNESS. In the announcement of the acquisition dated January 3, 2001, the Company indicated that there would be 18,000,000 restricted common shares, 9,000,000 restricted preferred shares and 18,000,000 preferred share warrants issued. This was an arithmetical error caused by applying the wrong factor to the conversion formula for GameCasters shares.

The Company also announced some changes to the Board of Directors. Craig Bampton and Michael Cartmel have resigned and will be replaced by Eric Hutchingame, C.E.O. of GameCasters and William Baker, C.E. O. of the Company.
