   VITAL SIGNS AND BIOMEDICAL DYNAMICS ANNOUNCE PROPOSED ACQUISITION
    MINNEAPOLIS, Nov. 6 /PRNewswire/ -- Vital Signs, Inc. (NASDAQ: VITL) and Biomedical Dynamics Corporation (NASDAQ: BMDC), announced today that they have signed a letter of intent for Vital Signs to acquire Biomedical Dynamics.  Under the proposed transaction, Biomedical Dynamics would become a wholly owned subsidiary of Vital Signs in a transaction accounted for as a pooling of interests and shareholders of Biomedical Dynamics would receive 0.359 shares of Vital Signs common stock for each share of Biomedical Dynamics common stock.  Based on an exchange ratio of 0.359 shares of VSI common stock for each outstanding share of Biomedical Dynamics common stock (not including unexercised rights to buy Biomedical Dynamics shares), approximately 1.7 million shares of Vital Signs common stock are issuable in the proposed transaction.  The transaction is subject to execution of a mutually satisfactory definitive agreement, completion of due diligence, board and shareholder approval and other standard conditions.
    Terry Wall, president and chief executive officer of Vital Signs, stated, "We are quite excited about the opportunities that this acquisition presents to us.  There appears to be a natural fit between our companies' products, businesses and potential."  Joseph Marino, the president and chief executive officer of Biomedical Dynamics, added, "The addition of Vital Signs' capital, sales force and business acumen to our own product lines and capacities suggests a very powerful combination.  As shareholders of the combined company, our shareholders should benefit substantially from this transaction.
    Vital Signs manufactures and sells disposable medical devices, primarily for anesthesia, respiratory and other critical care purposes. Biomedical Dynamics develops, manufactures and markets disposable medical products used in critical patient care.
