VISHAY COMPLETES PLAN TO ACQUIRE SPRAGUE TECHNOLOGIES BUSINESSES
MALVERN, Pa., Feb. 18 /PRNewswire/ -- Dr. Felix Zandman, chairman and chief executive officer, announced today that on Feb. 14, 1992, Vishay Intertechnology, Inc. (NYSE: VSH) completed a previously announced plan to acquire from Sprague Technologies, Inc. (NYSE: SPG) the assets and name of its worldwide tantalum capacitor and U.S. thick film network businesses.
The company paid $120 million for the worldwide tantalum capacitor and U.S. thick film network businesses of Sprague, the inventor of the tantalum capacitor, which have annual sales of approximately $220 million and a net book value on Dec. 31, 1991, of approximately $133 million. The purchase price is subject to post closing adjustments which are to be completed in the next several months. The Sprague businesses being acquired are located primarily in Sanford, Maine; Concord and Hudson, N.H.; North Adams and Mansfield, Mass; Toronto; and Tours, France. Vishay has obtained financing for the acquisition from a group of banks.
Commenting on the acquisition, Zandman stated: "Sprague's solid tantalum capacitor business has a worldwide leadership position and a reputation for excellence which when combined with Vishay's position in the resistor market, will provide an excellent strategic fit. This acquisition will enable Vishay to continue to compete successfully in the U.S. and European passive electronic components market."
Vishay Intertechnology, Inc. is a leading U.S. and European producer of a wide range of electronic resistors and resistive sensors. It also is a major producer of other types of passive electronic components. The company's products are used in a broad range of industries.
