United Kiev Resources Inc. announces that it completed a first closing on April 11, 1997 of a private placement in the amount of 10 million units for gross proceeds of US$2.0 million or US$0.20 per unit. The units consist of one share and one share purchase warrant exercisable at a price of US$0.25 per share for a period of two years from the date of closing. A further closing is anticipated before the end of April. The purchasers of this private placement are primarily United Kingdom-based investors. Coincident co·in·ci·dent

The proceeds from both private placements are to be used in the Company's operations in the Ukraine and for working capital.

The Company has also called a Special Meeting of Shareholders for May 20, 1997. At this meeting shareholders will be asked to approve a change in the name of the Company to Carpatsky Petroleum Inc. and to approve an increase in the maximum number of directors to fifteen. In conjunction with the closing of the recent private placement of units, Mr. Clive Richards of London, United Kingdom together with Mr. Jim Thomson, a partner of McManus Thomson, the company's principal attorneys will be appointed to the Board of Directors.
