 UNIVERSAL VOLTRONICS TO ACQUIRE INSTRUMENT MANUFACTURER
 MT. KISCO, N.Y., April 13 /PRNewswire/ -- Universal Voltronics Corp. (AMEX: UVL) and KeyTek Instrument Corp. have signed a letter of intent for Universal Voltronics to acquire KeyTek for cash. KeyTek, a privately held manufacturing company located in Wilmington, Mass., manufactures instruments for test and measurement applications. KeyTek's annual revenues are currently at the $9 million level. Completion of the transaction is subject to a due diligence investigation by Universal Voltronics, negotiation of a definitive acquisition agreement, and other customary closing conditions.
 KeyTek is a leading designer, developer, and manufacturer of instruments and systems that simulate the effects of pulsed electromagnetic interference and power interruptions. These products are used by a wide variety of companies throughout the world to test the ability of their components and systems to withstand short-duration, high-energy pulses caused by lightning or electrostatic discharge, power disturbances caused by power interruptions or power surges, and high-frequency transients caused by power switching.
 Universal Voltronics designs and manufactures high-voltage power conversion systems for scientific and energy research, industrial, medical, and defense applications. Universal Voltronics is a subsidiary of Thermedics Inc. (AMEX: TMD) and Thermo Electron Corporation (NYSE: TMO).
