 185,000-MEMBER DAYTON HEALTH PLAN
 MINNEAPOLIS, Nov. 13 /PRNewswire/ -- United HealthCare Corporation (NYSE: UNH) said it has signed a definitive agreement to purchase Western Ohio Health Care Corporation, a 185,000-member health plan based in Dayton, Ohio. Conclusion of the purchase will be subject to receipt of regulatory approval and approval by Western Ohio's shareholders.
 Terms of the agreement call for a purchase price of approximately $100 million. "We feel this is a very fair purchase price for an excellent addition to our company's network of health plans," said William W. McGuire, M.D., president, chairman and chief executive officer of United HealthCare. Jan. 31, 1993, is the anticipated effective date of the purchase.
 "We're committed to building on Western Ohio's success in the Dayton market, and we believe United HealthCare's extensive range of specialized cost and quality management capabilities and information systems will bring important added value to that community. And as we work and grow with Western Ohio, we're equally committed to maintaining and furthering the high levels of client service and employee spirit evident there today," McGuire said.
 Western Ohio President Jeffrey H. Leland cited the strong strategic and qualitative fit between the two companies. "United HealthCare shares our commitment to the consumers, purchasers and providers of health care services," he said.
