UNICOMP ANNOUNCES ACQUISITION OF THE ASSETS OF ICS COMPUTING GROUP

 ATLANTA, May 21 /PRNewswire/ -- UniComp Inc. (NASDAQ: UCMP) announced today that its wholly owned subsidiary, UniComp Holdings U.K. (UniComp Holdings), has acquired, through a wholly owned subsidiary, the business and certain assets of ICS Computing Group Ltd. (ICS), a subsidiary of Lamont Holdings PLC. The acquisition was completed for a cash consideration of approximately UK$2.8 million (US$4.34 million), which represents the net asset value of the acquired assets. The purchase price will be paid with an initial cash payment of UK$1.6 million (US$2.48 million). The final payment will be adjusted, post-completion, based on the operating results for the period up to May 20, 1993, and will be payable by May 31, 1994.
 ICS consists of three divisions: One which is the owner of the worldwide rights to the software product, UNIBOL RPG II; a second which supplies computer maintenance, customer service and computer system integration services; and a third which provides computer data processing services as well as custom computer applications for large corporations and public users. UNIBOL RPG II is the primary distribution product sold in North America by UniComp's subsidiary, Arccom Management Systems Inc.

UniComp additionally gains access to ICS' worldwide distribution network for the distribution of other vendor's software products, as well as its own proprietary products."
