UBM acquires "Physicians Practice" & Vintage filings.

United Business Media (UBM; London), through its CMP-Medica USA (Darien, CT) division, has acquired Physicians Practice LLC (Baltimore, MD) from Med-IQ, LLC for an initial cash consideration of $17.5 million, with a further performance-dependent consideration of up to $5 million.

Physicians Practice is a healthcare media company whose principle product is "Physicians Practice." The journal is distributed on a controlled basis to 300,000 practicing physicians and their staff through a partnership with more than 50 hospitals and medical centers nationwide, and is published 11 times a year, not including an annual "Technology Guide" distributed to 400,000 healthcare providers and office managers. Content for the journal includes coverage of subjects that deal with managing the non-clinical side of medicine, including ancillary products and services, billing and collections, coding, compensation, legal issues, practice growth strategies, staff development, technology and workflow.

The company also produces continuing medical education programs, newsletters and e-newsletters, including "The Tech doctor," "Politics and Your Practice" and "Physicians Practice Pearls," audio conferences, and custom publishing products, as well as physicianspractice.com, a web site that carries archived articles, downloadable customized forms, information on practice management and a subscription-based "Ask an Expert" information service. The company had 2006 revenues of $10.1 million.

CMPMedica produces a range of publications and events for both professionals and consumers. The company's publications include such titles as "BioMechanics," "Consultant," "Diagnostic Imaging," "Drug Benefit Trends" and "Issues in Urology," among others.

Also, UBM unit PR Newswire (New York), a provider of electronic distribution, measurement and broadcast services for corporate, government, association and non-profit organizations worldwide, has acquired Vintage Filings (New York), an EDGAR filing company. It provides full-service filing capabilities, typesetting and financial printing to more than 1000 public companies, mutual funds, investment management firms, law firms and individuals worldwide, assisting them in meeting the EDGAR filing requirements of the SEC.
