EDICT, founded in 1990, is a provider of Business-to-Business Electronic Commerce products and services. EDICT's products include:

Vertical EC Portals -- The "vortals" provide a web-based system for conducting electronic commerce. EDICT's first vortal, www.GroceryEC.com was released in October, 1999. Although less than six months old, already hundreds of companies are now using www.GroceryEC.com to conduct business electronically with Kroger, Fleming, Supervalu, C&S Grocers, Richfood and Dillon Stores (including King Sooper, City Markets and Fryes).

Support for other grocery retailers is production-ready and in various stages of testing. These retailers are Safeway, Albertsons, Winn Dixie, Meijer, Fred Meyer (including Smith's Food & Drug and Quality Food Centers), Randalls Food Markets (including Tom Thumb), Ralphs and Piggly Wiggly. Support for all major grocers that have EC/EDI EC/EDI Electronic Commerce/Electronic Data Interchange  capabilities is scheduled to be completed within 6 months.

The acquisition of EDICT was consummated as a reverse merger transaction resulting in the issuance of 4,359,000 shares of Twilight's common stock to EDICT's shareholders. As a result of the transaction there are now 5,378,173 shares of Twilight's common stock issued and outstanding of which EDICT's former shareholders hold 81.05%.

As a result of this transaction, Twilight's directors and officers resigned and were replaced by Jason K. Wadzinski. Mr. Wadzinski has served as President of EDICT and will now serve as Twilight's Chairman, President and Chief Executive Officer. Members of Twilight's current Board of Directors include Mr. Wadzinski and Mr. John F. Sheffs, also a director of EDICT.
