TRL's New Operations

TRL enhanced its mid-Atlantic regional network of dialysis centers by signing a definitive agreement to manage two dialysis operations in Baltimore. Under terms of the agreement, TRL will take full ownership by May 10, 1996, or earlier, of the 40-station Downtown Dialysis Center Inc., and continue managing the eight-station dialysis facility at Deaton Specialty Hospital. The two centers serve more than 180 patients.

With these additions, TRL now operates eight centers in the mid-Atlantic region, including six centers located in Virginia, and expects to add more centers in this regional network during 1996. This agreement marks TRL's entry into the state of Maryland, bringing the total number of states with TRL operations to 11.

In a non-related transaction, TRL acquired the Peritoneal Dialysis Training Center, also located in Los Angeles County, which serves 21 patients in its peritoneal dialysis (PD) program. TRL acquired a 50 percent interest in the Pacific Peritoneal Dialysis Center, a 40-patient center located on the U.S. territory of Guam. TRL has further expanded its presence in Guam by simultaneously acquiring a 50 percent interest in a new 20-station hemodialysis center scheduled to open this spring. Because Guam is a U.S. territory, reimbursement for dialysis patients is covered by Medicare.

Credit Facility Increased to $100 Million

The credit facility, which has not yet been used, will assist the company in financing future expansion and acquisition opportunities.
