The purpose of the meeting is to consider the election of one Director, the adoption of Theragenics Corporation's 2006 Stock Incentive Plan, the ratification of the appointment of Grant Thornton LLP as independent auditor, and to transact any other business as may properly come before the meeting or any adjournment thereof. The Board of Directors fixed the close of business on March 10, 2006, as the record date for the determination of the stockholders entitled to notice of, and to vote at, the meeting.
