With only 14 million shares out and not much more than 6.5 in the float, the stock should move quickly, and a forward split is not out of the question in the future. VERC also just announced a new partnership with Bell South Corp which seems to be a very positive step for the company. The agreement brings credibility, and more importantly substantial interest to VERC.

As a BellSouth Business Partner, VersaCOM can deliver expanded solutions for its voice and data network clients as well as those companies that purchased their systems from other companies. BellSouth serves customers in the nine southeast states with a wide variety of wireline and wireless services.

Versacom International Inc. also recently announced that they will provide Telrad products, technical support, and marketing and sales support to Telrad's "Service-Only Dealer" base located in the 25 states in the Northeastern, mid-Atlantic and Southern U.S. regions. These Telrad "Service-Only Dealers" will automatically become members of VersaCOM's family of Affiliate Dealers.

At present these distributors generate sales of approximately $6.5 million upon which VersaCOM expects a 25 percent profit. VersaCOM is currently working to expand this network.

The revenue increase compared to the fourth quarter of 2000 reflected an increase in the number of enterprise agreements, which offset a slight reduction in the number of member accounts.
