(Nasdaq:TELT) today announced that it has filed a Form S-4 with the Securities & Exchange Commission to register shares that will be used in the completion of the Telident Inc. (Nasdaq:TLDT) asset acquisition. The companies announced on January 7, 2000 the signing of a definitive agreement whereby Teltronics would acquire Telident's assets for 637,500 shares of Teltronics' common stock. Teltronics' shares will be distributed to Telident shareholders in connection with Telident's dissolution following the closing of the transaction, which is anticipated by the end of June. The acquisition is subject to satisfaction of certain conditions including approval by a majority of Telident's voting shareholders.
