TechnoConcepts Completes Acquisition of Asante, an Award Winning Networking and Communications Technology Company.

VAN NUYS, Calif. -- TechnoConcepts, Inc. (OTCBB:TCPS), pioneer and innovator of True Software Radio(TM) technology, announced today that it has completed the acquisition of the assets and operations of Asante Technologies, Inc. (OTC: ASNT.PK), an award winning, networking and communications technology company. TechnoConcepts will issue approximately 1,161,170 restricted shares of its common stock for all intellectual property, trademarks and current assets estimated to be valued at approximately $3 million, as well as all other assets. TechnoConcepts will also assume approximately $3 million in liabilities. Asante Technologies, Inc. may receive additional shares of TechnoConcepts if revenue goals of $20 million and $30 million are met over the next 12 and 24 months, respectively. Asante's operations will now be conducted by a new wholly-owned subsidiary of TechnoConcepts, Inc. operating out of San Jose, California.

Asante, as a new operating subsidiary of TechnoConcepts, will continue to design, market and sell a full line of networking solutions that provide its customers with high-performance, reliable, and value-based solutions. Asante's IntraCore(R) and FriendlyNET(R) product families offer companies a full breadth of products. Recent developments include wireless network products, VOIP and a comprehensive line of Gigabit Ethernet switches - the GX5 series.
