TXP, SMS to merge on reverse stock split.

Once the reverse split is effective, SMS will have sufficient authorized and unissued shares to exchange for all outstanding shares of TXP and complete the merger of the two companies, subject to additional closing conditions set forth in the merger agreement.

Following the closing of the agreement and merger, SMS will change its name to YTXP Corp. TXP's CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board. , Michael Shores, will assume leadership of the new public company.
