TWO TADIRAN SOFTWARE SUBSIDIARIES GO PUBLIC IN ISRAEL; SIGNIFICANTLY OVERSUBSCRIBED ISSUES RAISE $17.5 MILLION

 HOLON, Israel, Nov. 9 /PRNewswire/ -- Tadiran Ltd. (NYSE: TAD) announced that it has successfully completed public offerings on Israel's Tel Aviv Stock Exchange for two of its wholly owned computer software subsidiaries -- Advanced Technologies Ltd. (ATL) and Contahal Ltd.
 The separate offerings of ordinary shares and options, which in both cases were significantly oversubscribed, will result in Tadiran's holdings in each company immediately being reduced by approximately 17.5 percent, which, after exercise of options, could reach some 27 percent to 30 percent. Tadiran said that cash proceeds from the offerings totalled $17.5 million -- with approximately $12 million from the ATL offering and approximately $5.5 million from the Contahal offering. This will result in a one-time capital gain of $11.6 million, or 60 cents per share, to be reflected in Tadiran's fourth-quarter results, the company said.
 Tadiran's computer software business comprises Israel's largest systems integration and software development enterprise. It consists primarily of ATL and Contahal, along with the company's Information Systems Division. Through these operations, Tadiran designs, develops, distributes and supports a wide range of custom computer software, which it sells to a variety of customers in Israel, the United States, and around the world, as well as to support
Tadiran's own telecommunications and electronic systems businesses. Total computer software revenues in


1992 were $53.7 million. During the first half of 1993, revenues were $30.5 million. Approximately 30 percent are intercompany sales. Tadiran's computer software segment employs 900 people, some 800 of whom are software engineers.
 Tadiran designs, develops, manufactures and markets a wide range of sophisticated telecommunications equipment, defense electronic systems and computer software products, which are sold to customers in more than 50 countries. In addition, Tadiran is one of the largest manufacturers of air conditioners and refrigerators in Israel, and is a leading manufacturer of lithium thionyl chloride batteries.
