TOTAL PETROLEUM SIGNS AGREEMENT WITH AVANTI PETROLEUM

 DENVER, Dec. 2 /PRNewswire/ -- Total Petroleum Inc. (Total), a wholly owned subsidiary of Total Petroleum (North America) Ltd. (AMEX: TPN), and Avanti Petroleum Inc. (Avanti) announced today the signing of an agreement under which Avanti will acquire 67 Missouri and Minnesota Total-owned gasoline stations and convenience store sites. The 31 Missouri stores are located in the St. Louis and Springfield areas, while 36 stores in Minnesota are located primarily around the Minneapolis area.
 Total will continue to support some of the stores with the company's branded jobber programs. Most of the Missouri stores will remain under the Vickers flag and the Minnesota stores will continue to carry the Total brand, but ownership will be transferred to Avanti.
 Gary Jones, Total's senior vice president of marketing, said, "This sale to Avanti is a continuance of Total's retail consolidation strategy. Although we are decreasing our presence in the St. Louis area, Total has targeted western Missouri and Kansas City areas for expansion."
 Earlier this year, Total acquired 23 Town and Country stores in the Kansas City area and the company has been actively rebranding all its Kansas City APCO, Town and Country and Vickers locations to TOTAL.
 Avanti Petroleum is a new Denver-based company founded by Jeffrey Kramer and Ardsheil Inc. a New York-based merchant banking firm. Kramer, president and chief executive officer of Avanti, indicated he is looking forward to continuing the success of the operations and to the future growth of Avanti. "We are very pleased with the acquisition and the fine local management team Avanti is inheriting."
 Total is a refiner and marketer of petroleum products in the central United States. Total operates four refineries, in Alma, Mich; Ardmore, Okla.; Commerce City, Colo.; and Arkansas City, Kan. and distributes petroleum products and convenience store items through approximately 2,300 stores. Nationwide, Total employs approximately 6,500 people.
