THERMOTREX PROVIDES ADDITIONAL INFORMATION ABOUT POTENTIAL ACQUISITION
SAN DIEGO, Sept. 30 /PRNewswire/ -- As announced last week, ThermoTrex Corporation (AMEX: TKN) has entered into a letter of intent to acquire Lorad Corporation. ThermoTrex has received requests for additional information.
Danbury, Conn.-based Lorad is a leading manufacturer of low-dose X-ray mammography systems and minimally invasive needle biopsy systems. ThermoTrex (TTC) is developing the sonic CT (computerized tomography), a medical imaging device that is designed to, among other things, aid in the detection of breast cancer. It is expected that Lorad's know-how in manufacturing and marketing medical equipment will help ThermoTrex commercialize the sonic CT.
In 1991, Lorad had pre-tax income of $723,000 on revenues of $17.2 million, compared with pre-tax income of $142,000 in 1990 on revenues of $13.3 million. For the first seven months of 1992, revenues were $15 million, with pre-tax income of nearly $1 million. In addition, Lorad has made significant investment in R&D Q $2.3 million in 1990, growing to $3.2 million in 1991.
Currently, TTC is using only the interest income from its approximately $30 million investment portfolio to develop the sonic CT and its other commercial products. Through the utilization of Lorad's earnings and R&D expenditures, TTC's sonic CT and other development programs could be substantially strengthened.
Its high-resolution images and the ability to distinguish different tissue types could make TTC's sonic CT system ideally suited to complement X-ray systems. Moreover, as radiologists become familiar with the capabilities of sonic CT and a significant database for tumor detection is created, sonic CT has the potential to be used as a primary screening tool to provide more detailed diagnostic information. Since the major customer base for TTCUs sonic CT would be the same as that for Lorad's equipment, TTC believes Lorad is ideally suited to introduce the sonic CT. The company will also be well-positioned to help bring TTC's Doppler CT, a variant on the sonic CT intended to diagnose and monitor peripheral vascular disease, to market.
ThermoTrex Corporation develops advanced technology in electro-optic and electro-acoustic systems, signal processing, materials technology, lasers, and thermionic and thermoelectric direct-energy conversion. Currently, the company is developing several commercial products, including a passive microwave camera that would enable pilots to "see" through fog and clouds to enhance navigation, a wind-shear detector to provide pilots with advance warning of wind shears, and the sonic CT. ThermoTrex Corporation is a public subsidiary of Thermo Electron Corporation.
