THERMO VOLTEK SIGNS LETTER OF INTENT TO ACQUIRE COMTEST INSTRUMENTATION

 MT. KISCO, N.Y., June 11 /PRNewswire/ -- Thermo Voltek Corp. (AMEX: TVL) announced today that it has signed a letter of intent for the acquisition, by its KeyTek Instrument Corp. subsidiary, of Comtest Instrumentation. Comtest, which has been a distributor of KeyTek products for eight years, distributes systems that test for electromagnetic compatibility (EMC), provides EMC-related consulting services, and manufactures specialized power supplies for telecommunications equipment. Based in the Netherlands, Comtest conducts business primarily in the U.K. and the Benelux countries.
 The acquisition is subject to several conditions, including completion by Thermo Voltek of its due diligence investigation, the scope and results of which must be acceptable to Thermo Voltek; approval by the Boards of Directors of Thermo Voltek and of Thermedics Inc., the majority stockholder of Thermo Voltek; and negotiation of a definitive purchase agreement. The purchase price is expected to be approximately $2.5 million. Comtest's 1992 revenues, excluding revenues derived from KeyTek, were approximately $8.0 million.

Wood Jr., president and chief executive officer of Thermo Voltek.
 Thermo Voltek Corp. designs and manufactures high-voltage power conversion systems and electronic test instruments and systems for commercial, industrial, medical, defense, and scientific and energy applications. Thermo Voltek is a subsidiary of Thermedics Inc. and Thermo Electron Corporation.
