TERNER, DUTTON RESIGN FROM FOUNDATION'S BOARD OF DIRECTORS

 RANCHO CORDOVA, Calif., Dec. 15 /PRNewswire/ -- Foundation Health Corp. (NYSE: FH) today announced that Dr. Jacob Terner and Theodore Dutton resigned from the company's board of directors effective Dec. 9, 1992, citing personal reasons.
 Terner also resigned his position as executive vice president of the company, but he entered into a three-year consulting agreement which focuses on his expertise in the areas of hospital and physician group contracting, Medicare and Medicaid. Terner was chairman and chief executive officer of Century MediCorp. Inc., which was acquired by Foundation on Oct. 15. Dutton was also member of Century's board of directors.
 Both Terner and Dutton expressed their support for Foundation, its board of directors and management.
