TERMIFLEX CORPORATION ANNOUNCES EBNER'S DECISION NOT TO PARTICIPATE IN PREVIOUSLY ANNOUNCED MANAGEMENT MERGER PROPOSAL

 MERRIMACK, N.H., Sept. 2 /PRNewswire/ -- Termiflex Corporation (NASDAQ: TFLX) today announced that Peter R. Ebner has determined not to participate in the previously announced merger proposal.
 On Aug. 17, 1993, the company announced that it had received a merger proposal from a corporation to be formed by William E. Fletcher, the company's chief executive officer and largest shareholder, and Ebner, a director and stockholder of Termiflex. After considering a number of factors, including the likely terms of any financing, Ebner has now determined not to participate in the previously announced proposal. As a result, Fletcher informed the board that he is re- evaluating the feasibility of the proposal. Fletcher informed the board that there can be no assurance that, absent Ebner's participation, he would proceed with the proposal.
