TELXON ACQUIRES TELESYSTEMS SLW INC., CANADA,
A LEADING SUPPLIER OF SPREAD SPECTRUM RADIOS
AKRON, Ohio, April 13 /PRNewswire/ -- Telxon Corporation (NASDAQ/NMS: TLXN), the worldwide leader in hand-held microcomputer technology, today announced the acquisition of Telesystems SLW Inc. of Toronto, Ontario, Canada, a developer and supplier of wireless data communications products and local area networks (LANs) using spread spectrum radio technology.
Telxon purchased the company for approximately $10 million (US) in cash and stock. Telxon had previously owned five percent of Telesystems.
Telesystems, founded in 1986, developed spread spectrum radio and radio network products for the LAN and portable computer marketplaces. These products are now a part of the wireless spread spectrum Portable Tele-transaction Computer (PTC) systems that Telxon recently announced it is providing to Wal-Mart Stores, Inc. Telxon is supplying America's leading retailer with Telxon's PTC-960 and the DATASPAN 2000(R) spread spectrum wireless communications network for use in the chain's new merchandising and customer service applications.
"Wireless communications is the fastest growing segment of the hand-held microcomputer industry. This acquisition enables Telxon to offer customers a proven, commercial spread spectrum radio fully integrated with Telxon products and systems," said Raymond D. Meyo, Telxon president and chief executive officer. "Our acquisition of Telesystems strengthens and protects Telxon's ability to provide advanced wireless products and systems to our customers in the future."
Telesystems, which has been granted a number of patents for its spread spectrum technology, was the first company in the industry to receive Federal Communications Commission (FCC) and Canada's Department of Communication (DOC) approval for its spread spectrum radios in 1988 and 1990, respectively. Telesystems recently received preliminary approval for its 2.4 gigahertz radio in the United Kingdom.
As a leading developer and supplier of wireless LANs, Telesystems has an established customer base of spread spectrum wireless LAN systems in the United States and Canada.
Telxon plans to market Telesystems spread spectrum components and systems through Value-added Resellers (VARs) and Original Equipment Manufacturer (OEM) channels, which the company expects will create an industry standard for seamless communication of all radio-controlled products at customer sites.
While Telesystems will become a wholly owned subsidiary of Telxon Canada Corporation Inc., it will operate as an independent company and its headquarters will remain in Toronto, Canada.
Telxon PTCs gather, process and store on-site, real-time data which is communicated to a host computer. These systems incorporate the company's proprietary operating and applications software, associated peripheral equipment and communications devices.
Telxon executive and engineering offices are located in Akron, Ohio, and its manufacturing facility is in Houston. More than 6,000 Telxon customers are served by over 50 sales and service offices worldwide.
