TEI members adopt by-law changes: board streamlined, size of executive, nominating committees increased.


On August 15, TEI's membership overwhelmingly approved several changes to TEI's By-Laws that will well position it grows and seeks to effectively advance the Institute's mission and the interests of its 6,000 members, according to according to

The adopted changes increase the size of TEI's Executive Committee from 9 to 11, and provide both that the Senior Vice President will serve as a member of the Nominating Committee A nominating committee is a group formed usually from inside the membership of an organization for the purpose of nominating candidates for office within the organization. It works similarly to an electoral college, the main difference being that the available candidates, either  and that the Senior Vice President will become President by operation of the By-Laws. In addition, the membership approved a change concerning the tenure of Past Institute Presidents on the Board of Directors.

The By-Law revisions are the product of more than a year's study of governance Governance makes decisions that define expectations, grant power, or verify performance. Sometimes people set up a government to administer these processes and systems.  issues by TEI's Task Force on Structure and Governance. Formed in May 2005 and chaired by David M. Penney of the Toronto Chapter, the task force was charged with reviewing the structure of the Institute and assessing whether any changes were appropriate. Still under review by the task force is whether any changes to TEI's regional structure are warranted. Several proposals were submitted to the Board for consideration at its August 15 meeting. A vote on the proposals is expected as early as October.

Size of the Board of Directors

At the time of the changes, TEI's Board of Directors consisted of 4 Senior Officers, 9 Regional Vice Presidents, 53 Chapter Representatives, and 6 qualifying Past Presidents, for a total of 72 members. Finding that modern association practice favors smaller boards of directors, the Task Force said that the Institute should look for opportunities to reduce the size of the Board.

Thus, the Task Force declined to recommend any change in the Institute rule granting each chapter a representative on the Board, and after careful consideration, the Board deferred action on a proposal that would reduce the number of regions (and hence the number of regional vice presidents) from 9 to 6. (As reported above, possible changes to the Institute's regional structure were discussed at the August meeting of the Board of Directors and may be approved as early as the October meeting.)

At the 2006 Annual Meeting of Members, however, the membership approved a Board-recommended change that over time would reduce the size of the Board by providing that future presidents will serve on the Board for up to three years after their presidential term ends. In recognition of the contributions of the "incumbent" Past Presidents, however, the revised By-Law provides that past presidents whose terms ended before 2006 will be eligible to serve on the Board as long as they remain members of the Institute.

Composition of TEI Nominating Committee

The membership also made changes in the composition of the Nominating Committee. Specifically, recognizing that the Institute's Senior Vice President--who has succeeded to the office of President without exception for more than 40 years--has a keen interest in the selection of the Regional Vice Presidents who will be part of his or her leadership team, the revised By-Laws now provide that the Senior Vice President will serve on the Nominating Committee, along with the President, immediate Past President, and a representative from each of TEI's regions.

The revised By-Laws also provide that the Senior Vice President will be become President by operation of the By-Laws, thereby enabling her or him to begin the transition process earlier than under the prior rule. This change also avoids a situation otherwise caused by the addition of the Senior Vice President to the Nominating Committee--someone participating in his or her own nomination.

Size of the Executive Committee

Finally, the membership approved a By-Law amendment that increased the size of TEI's Executive Committee from 9 to 11. Before the change, the Executive Committee consisted of the President, Senior Vice President, Secretary, and Treasurer, and 5 other members of the Board who were nominated nom·i·nate

To respond to TEI's global expansion and the desire for the Institute's leadership to reflect the major components of its membership, the Task Force and the Board recommended--and the membership approved--a change that would expand the Executive Committee by 2.
